These Terms of Service (Terms) govern your access to and use of OrderOps — the inventory, picking, packing and shipping platform available at orderops.app and ship.orderops.app (the Service). The Service is operated by Ivory & Deene (OrderOps, we, us), an Australian business. By creating an account or using the Service you agree to these Terms on behalf of yourself and the business you represent (you). If you do not agree, do not use the Service.
1. The Service
OrderOps connects to your Shopify store(s) and your shipping carrier accounts to help you manage inventory, pick and pack orders, book shipments, print labels and keep fulfilment state in sync. The Service is built for business use by retailers and is not offered to consumers.
2. Accounts
- You must provide accurate account information and keep it current. Sign-in is by email link; you are responsible for the security of your email account and for all activity under your workspace.
- You must be authorised to act for the business you register, and to connect any Shopify store or carrier account you connect.
- You are responsible for the people you invite to your workspace and the permissions you give them.
3. Subscriptions, trials and billing
- Paid plans are priced in Australian dollars and billed monthly or annually through Shopify billing — charges appear on your Shopify invoice. Plan tiers and current pricing are shown at sign-up, in Settings → Billing, and on your store's Shopify pricing page.
- New workspaces include a free trial (currently 14 days). When your trial ends you need an active subscription to keep using paid features.
- Plans have monthly usage allowances (such as order volume). If you exceed your allowance you may need to upgrade to keep printing labels.
- Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice; changes apply from your next billing cycle.
- If a payment fails we may limit or suspend the Service after a grace period. Prices are exclusive of GST unless stated otherwise; where GST applies it will be added.
4. Carriers and shipping
- OrderOps is a software platform, not a freight carrier. Shipments are booked on your own carrier accounts (for example Australia Post, StarTrack, Team Global Express, TNT or FedEx) under your agreements with those carriers, and carriage is governed by the relevant carrier's terms.
- Carrier charges are billed to you by your carrier, not by us. You are responsible for the accuracy of shipment details you submit — addresses, weights, dimensions, dangerous-goods declarations and customs information.
- We transmit data to and from carriers on your instruction and are not responsible for carrier service failures, delays, loss or damage in transit.
5. Your data and your customers' data
- You retain all rights to the data you bring to the Service, including your store, order and customer data (Your Data). You grant us the rights needed to host, process and transmit Your Data to operate the Service.
- For personal information about your customers, you are the party with the customer relationship and we process that information on your behalf to provide the Service. You warrant that you have the rights and consents needed for us to do so.
- Our collection and handling of personal information is described in our Privacy Policy.
- We honour Shopify's privacy webhooks: customer data-request, customer redaction and shop redaction requests are actioned as described in the Privacy Policy.
6. Acceptable use
You must not:
- use the Service unlawfully, or to ship anything unlawful;
- attempt to probe, breach or circumvent security or access another tenant's data;
- resell or provide the Service to third parties as a bureau service;
- reverse engineer the Service except as permitted by law, or use it to build a competing product;
- impose unreasonable load, or use the Service to send spam.
We may suspend accounts that put the Service or other customers at risk.
7. Availability, support and changes
We aim for high availability but the Service is provided without an uptime guarantee. We may add, change or remove features, and features marked beta or early access may change or be withdrawn at any time. Support is provided by email at hello@orderops.app.
8. Third-party services
The Service depends on third-party platforms — including Shopify (your store platform and billing provider), your carriers and our hosting providers. Their availability and terms are outside our control, and your use of them is governed by your agreements with them.
9. Intellectual property
We (and our licensors) own the Service, including its software, design and branding. These Terms do not transfer any of that to you. Feedback you give us may be used without restriction or obligation.
10. Liability
Nothing in these Terms excludes rights you have under the Australian Consumer Law or any other rights that cannot lawfully be excluded. Where a statutory guarantee applies and can be limited, our liability is limited (at our option) to re-supplying the Service or paying the cost of re-supply.
Subject to the above: (a) the Service is provided "as is"; (b) neither party is liable for indirect or consequential loss, loss of profits, revenue or data; and (c) our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. You are responsible for maintaining your own records and backups of Your Data held in source systems such as Shopify.
11. Termination
- You may cancel at any time in Settings → Billing; cancellation takes effect at the end of the current billing period.
- We may suspend or terminate the Service for material breach of these Terms, or on 30 days' notice if we discontinue the Service.
- After termination we delete or de-identify Your Data in line with the retention periods in our Privacy Policy. Your order history remains in your Shopify store — OrderOps holds a working copy, not the system of record.
12. Changes to these Terms
We may update these Terms from time to time. For material changes we will give reasonable notice (for example by email or in-app). Continued use of the Service after a change takes effect is acceptance of the updated Terms.
13. General
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of its courts. If part of these Terms is unenforceable, the rest remains in effect. Notices to us: hello@orderops.app.
